Doing their bit for the environment, Dyke Yaxley has supported an environmentally sensitive recycling and waste disposal firm to act on expansion plans.
The client approached Mark Bramall, of Dyke Yaxley in Shropshire, with plans to develop and expand their business, but needing more finance to do so. In order to obtain the required funding, Mark assisted the client with a merger which has then allowed them to gain investment.
Mark's role throughout the process included reviewing the initial financial information, and providing detailed advice on the potentially complex structure of the deal to ensure it was tax efficient, as well as on the service contracts for directors.
He also had a key role in negotiations on Heads of Terms, and assisted with HMRC clearance on the share exchange. He also used The Corporate Finance Network connections to maintain a close working relationship with Cobbetts Solicitors, who provided legal support throughout the process.
The deal was concluded in November 2011, with the client looking forward to putting their expansion plans into action as a result of the investment, and making the most of the new contact opportunities which have also arisen.
