LEES, a member of The Corporate Finance Network with offices in Norwich and London, has successfully advised the vendors of an events management business on its sale to a larger firm.An established business in the events sector was approached to become part of a larger organisation with obvious synergies and opportunities to grow the mutual businesses quicker and through complementary markets. LEES was enlisted to help the owners through the sale process which also allowed the vendors an opportunity to join the Board of the enlarged group and help drive forward and continue to profit in future from accelerated growth.
LEES, led by Director of Corporate Finance, Chris Bidgood, assisted in the negotiations to ensure that the vendors got a fair deal and realised good value for their investment to date. They also assisted with the due diligence process and put appropriate input into the legal process to help the client understand the detail of the transaction and negotiate on certain matters. As an element of earn-out was included in the deal, LEES assisted the client with understanding the funds flow from the deal and the tax implications whilst ensuring that the legal form of the sale was structured to the client's requirements.
The vendors are now enjoying the challenge of being part of a larger group and are well placed to drive their combined businesses forward.
