As the second quarter gets underway, global businesses are operating in a more volatile market for energy prices and supply chain security, following the crisis in the Middle East. For UK SME M&A, this also affects transactions currently in play.
FDD teams will be stress-testing valuations for energy exposure, inflationary pressures, supplier fragility & likely impact on EBITDA as a result of cost increases. This will inevitably result in dealmakers proposing increased earn-outs, which share more of the risk with the vendor, bridging the uncertainty for the acquirer.
If deal completions become more uncertain, advisers will be seeking to increase deal origination efforts to build their pipeline.
