As we move through March, UK SME M&A is wondering how world events will affect transaction volumes. However, in the short term, there is the usual uptick in completions as we approach another increase in the Capital Gains Tax rates, due in early April.

For UK dealmakers, the macro-economic impacts will directly influence their due diligence investigations. Higher energy and transport costs can quickly compress margins and increase working capital pressure, particularly in energy-intensive and logistics-exposed businesses. This makes it essential to stress-test forecasts. NIESR analysis indicates that a one-year persistent energy price shock could raise UK inflation by around 0.7 percentage points. This could force the Bank of England to push rates back above 4%, reinforcing the need for conservative financing assumptions while the outlook remains fluid.
