Albert Goodman, a member of The Corporate Finance Network based in South West England with six offices, has advised the owners of a Horticulture Services company on an acquisition and disposal.
Matthew Chandler, Partner at Albert Goodman, was approached by a client when they decided to consider the options of an acquisition and disposal, which enabled one of the two founders of the business to exit via a sale to the other founder.
With the aid of Mogers Drewett, Matthew and the Albert Goodman Corporate Finance team assisted the client. On top of the constant provision of deal support, this included preparing valuation reports, gaining HMRC clearance, briefing solicitors, and advising on payment profile.
On top of this, they advised on structure including new holding company and a share for share exchange for remaining founder’s shares.
Some of the departing shareholder’s shareholding was held via pension so the team worked with the pension trustees to enable transaction to complete smoothly.
The outcome of the deal enabled one of the founders to exit the business and realise their investment at market value, but with the team’s help it was structured to still be affordable for the buyer.
