Scrutton Bland, part of the Sumer Group and a member of The Corporate Finance Network based in the East of England, has successfully advised business owners involved in a share disposal in the renewable infrastructure management sector.
Led by Luke Morris and Alex Canham, the Scrutton Bland team assisted in dealing with the pre-deal divestment and tax mitigation of an overseas entity outside of the main deal parameters, assessed tax exposures, assisted with commercial negotiations around pricing, and provided detailed commentary on specific elements of the Share Purchase Agreement (SPA), including working capital adjustments.
The client, who was looking to partner with an industry-leader to support its next phase of growth, relied on Scrutton Bland’s expertise to manage a deal which sees some of the vendor shareholders remaining with the buyer’s expanded business and some exiting in full.
