The Consilium Corporate Finance team undertook a full lead advisory service for their client right through to deal execution on the disposal of the entire share capital. This included; initial price discissions and negotiations; coordination of the financial and tax due diligence process; review of the legal documentation, HOT’s, SPA and disclosure letter; negotiating the cash and working capital targets and earn out mechanisms.
The transaction was a fantastic fit for both parties with the transaction allowing the enlarged Group to deliver a more complete range of solutions to their customers.
