Dyke Yaxley, a member of The Corporate Finance Network with two offices in Shropshire and one in the United States has advised a specialist retailer on its sale to another retailer.
The client tested the market in 2015 but the business did not attract any interest. The Dyke Yaxley team, led by Director Mark Bramall, assisted the client in reviewing the exit planning options in 2016 to protect the assets of the company in the future event of a sale.
Dyke Yaxley applied for clearance to set up a holding company and complete a share for share exchange. The company continued to trade and was approached by a buyer in 2017.
During the sale process, Dyke Yaxley assisted the client with negotiations on structuring the deal and agreeing on a purchase price. Mark and his team also assisted in reviewing Heads of Terms, gathering information for the Due Diligence process, reviewed and advised the Solicitors on the Sale and Purchase agreement.
Alongside the sale, Dyke Yaxley specialists advised on all aspects of the tax considerations around the disposal of the business for the vendors and in connection with the Sale & Purchase Agreement.
The outcome was a successful sale and the vendors are well setup for retirement.
