McBrides, a member of The Corporate Finance Network based in Kent and South East London, has advised the management and vendors of a market research business on a successful Management Buy-Out (MBO).

The McBrides Corporate Finance team, led by Corporate Finance Partner Mark Grady, was approached by his client after they were contacted about selling their business. Having never had experience during such a situation, they called Mark to discuss potential options for the business.

The McBrides team undertook an initial valuation of the business and prepared a transaction feasibility report for the management team to determine the financing requirements of the transaction. The team also assisted with the negotiation of deal structure and acquisition value and agreement of Heads of Terms. Mark led communication between the vendor, management team and solicitors to ensure the structural, commercial and taxation elements of the transaction were correctly documented to complete the transaction.

The outcome was a successful sale to the management team, well poised to take the business to the next level.
