McBrides, a member of The Corporate Finance Network based in Kent and South East London, has advised the shareholders of a retailer on selling their business after an unsolicited approach by their main competitor.

The McBrides Corporate Finance team, led by Corporate Finance Partner Nigel Kimber, was approached by his client after they were contacted about selling their business. Having never had experience during such a situation, they called Nigel to discuss potential options for the business.

Nigel and the Corporate Finance team assisted the client through negotiations with the purchaser to agree on Heads of Terms. The McBrides team also assisted with due diligence enquiries, advised on commercial aspects of the Share Purchase Agreement and prepared completion accounts which were fundamental to agreeing the final consideration.

The outcome was a successful sale for the client who could now enjoy a well-earned retirement.
